Welcome to Steer Health. These Terms of Use (“Terms”) govern your access to and use of the Steer Health platform, website, and services (collectively, the “Services”). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Services.
1. Acceptance of Terms
By accessing or using Steer Health, you affirm that you are at least 18 years old and have the full legal capacity and authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, you must not use the Services.
2. Modification of Terms
Steer Health reserves the absolute right, at its sole discretion, to modify, update, or amend these Terms at any time without prior notice. Modifications will be effective immediately upon posting on our website or notifying users via email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms regularly.
3. Services Provided
Steer Health provides AI-driven automation and growth solutions for healthcare organizations, including but not limited to digital front door solutions, pre-visit preparation, clinical triage automation, and post-visit workflows. Steer Health reserves the right to modify, update, suspend, or discontinue any aspect of the Services at any time, with or without notice, and shall not be liable for any modification, suspension, or discontinuation.
4. User Accounts
- To access certain features, you must create an account.
- You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account.
- You agree to notify Steer Health immediately of any unauthorized access or suspected security breach of your account.
- Steer Health reserves the right to suspend or terminate accounts suspected of unauthorized use or breach of these Terms.
5. Acceptable Use Policy
You expressly agree that you shall not:
- Use the Services for any unlawful, fraudulent, or unauthorized purpose.
- Violate any applicable local, state, national, or international laws, regulations, or industry standards.
- Disrupt, interfere with, or compromise the security of the Services or attempt to gain unauthorized access to Steer Health’s systems, networks, or data.
- Upload, distribute, or transmit any malware, viruses, or other harmful code.
- Reverse-engineer, decompile, or attempt to extract the source code of any portion of the Services without prior written consent.
6. Intellectual Property Rights
- All content, software, trademarks, trade names, and proprietary rights associated with the Services are owned by Steer Health or its licensors and are protected under applicable intellectual property laws.
- You may not copy, modify, distribute, or create derivative works based on any part of the Services without express written permission from Steer Health.
- Unauthorized use of Steer Health’s intellectual property is strictly prohibited and may result in legal action.
7. Data Privacy and Security
- Your use of the Services is subject to Steer Health’s Privacy Policy, which governs our collection, use, and storage of personal data.
- By using the Services, you consent to Steer Health’s collection and processing of your data in accordance with the Privacy Policy.
- Steer Health implements commercially reasonable security measures to protect user data but does not guarantee absolute security.
8. Third-Party Integrations
- The Services may include links or integrations with third-party platforms.
- Steer Health disclaims all liability for the content, policies, or practices of any third-party services.
- Your interactions with third-party services are solely at your own risk and subject to their respective terms and conditions.
9. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEER HEALTH, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES.
- IN NO EVENT SHALL STEER HEALTH’S TOTAL LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE PRECEDING TWELVE (12) MONTHS.
10. Indemnification
You agree to indemnify, defend, and hold harmless Steer Health, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your use or misuse of the Services;
- Your violation of these Terms or any applicable laws;
- Your infringement of any third-party rights, including intellectual property rights.
11. Termination
- Steer Health reserves the right, at its sole discretion, to suspend or terminate your access to the Services at any time and for any reason, including but not limited to breach of these Terms.
- Upon termination, your right to use the Services shall cease immediately, and any outstanding obligations shall survive termination.
- Steer Health shall not be liable for any loss of data or inability to access the Services upon termination.
12. Governing Law and Dispute Resolution
- These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
- Any disputes arising out of or related to these Terms shall be exclusively resolved through binding arbitration in Dallas County, Texas, in accordance with the rules of the American Arbitration Association (AAA).
- You agree that any claim or cause of action arising from your use of the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.
13. Miscellaneous
- These Terms constitute the entire agreement between you and Steer Health with respect to the Services and supersede all prior agreements, whether written or oral.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
- You may not assign or transfer any rights or obligations under these Terms without prior written consent from Steer Health.
